                              ORDER

     Orion Microsystems, Inc. filed this appeal on June 21, 2004, in connection with a
dispute under contract number GS-35F-0001K.  On June 21, 2005, the parties filed a joint
motion to dismiss the appeal with prejudice, stating the parties have executed a settlement
agreement that fully resolves the appeal.

     Accordingly, this appeal is DISMISSED WITH PREJUDICE.
