                              ORDER

     On September 13, 2002, appellant appealed a contracting officer's final decision dated 
July 1, 2002, which terminated for default a contract of sale between appellant and
respondent and assessed liquidated damages.  On November 4, 2002, the parties filed a
jointly executed settlement agreement in which appellant agrees to have the appeal dismissed
with prejudice as all disputes had been settled.  Accordingly, the appeal is DISMISSED
WITH PREJUDICE.
