                              ORDER

     On September 27, 2001, appellant, Melwood Horticultural Training Center, appealed
the final decision of a General Services Administration contracting officer regarding
resolution of payment issues under contract number 50-SAAA-0-00001.  On April 29, 2002,
the parties filed a motion to dismiss stating that they have entered into a settlement agreement
resolving all issues in this appeal and moving that this appeal be dismissed with prejudice.

     Accordingly, this appeal is DISMISSED WITH PREJUDICE.
