                                 ORDER
 
        On July  7, 1998,  appellant, MVM, Inc.,  filed a  notice of
   appeal  challenging the contracting  officer's decision  of April
   28, 1998, in connection with a dispute under contract no. GS-01P-
   96-BWD-0032 for security guard services.
 
        On December  4, 1998,  the parties filed  a joint  motion to
   dismiss the appeal.
 
        Accordingly,  this appeal is DISMISSED WITH PREJUDICE.  Rule
   128(a).
