                                 ORDER
 
        On February 19,  1998, appellant, Cecil Baker  & Associates,
   Inc.,  filed a  notice  of  appeal  challenging  the  contracting
   officer's decision  of December  4, 1997, in  connection with   a
   dispute under contract no. GS-03P-CDD-0301.
 
        On  June 30,  1998,  the  parties filed  a  joint motion  to
   dismiss the appeal with prejudice.
 
        Accordingly,  this appeal is DISMISSED WITH PREJUDICE.  Rule
   128(a).
