                                   ORDER

     On July 9, 1996, appellant, Bob Beck Tubulars, filed a notice
of appeal challenging the contracting officer's decision of
June 21, 1996, terminating contract GS07F96FBE2920 and assessing
liquidated damages in the amount of $2935.

     On December 3, 1996, the parties filed a motion to dismiss the
appeal with prejudice based upon a settlement agreement.

     Accordingly, this appeal is DISMISSED WITH PREJUDICE.  Rule
28(a).
