                                   ORDER

     On August 27, 1996, appellant, Jerry L. Hatfield, filed a
notice of appeal challenging the contracting officer s decision of
June 17, 1996, in connection with a dispute under lease contract
no. GS-04B-35097.

     On May 14, 1997, the parties filed a joint stipulation and
motion to dismiss with prejudice.

     Accordingly, this appeal is DISMISSED WITH PREJUDICE.  Rule
28(a).
