                                   ORDER

     American Technical Coatings Corp. (American) filed this appeal
with the Board on August 15, 1996.  American appealed the
termination of its contract with the General Services
Administration for the manufacture and supply of materials. 

     On January 3, 1997, the parties filed a joint motion to
dismiss the appeal with prejudice.

     Accordingly, the appeal is DISMISSED WITH PREJUDICE.  Rule
