                                   ORDER

     On May 29, 1996, Integrated Systems Group, Inc. (ISG) appealed
the final decision of a Department of Commerce (DOC) contracting
officer terminating for default contract number 50-PAPT-5-00017 for
a network tape backup system for the DOC Patent and Trademarks
Office.  On January 13, 1997, ISG filed a motion withdrawing the
appeal stating that the parties have settled the dispute and
requesting that the appeal be dismissed with prejudice.

     Accordingly, this appeal is DISMISSED WITH PREJUDICE. 
Rule 128(a).  61 Fed. Reg. 52,347 (1996) (to be codified at
48 CFR 6101).
