                                   ORDER

     On September 18, 1995, appellant, Morse Diesel International,
Inc., filed a notice of appeal challenging the contracting
officer s decision of June 15, 1995, in connection with a dispute
under contract no. 06P-94-GYC-0037.  The contract was awarded
July 5, 1994, for the construction of the United States Courthouse
in St. Louis, Missouri.

     On April 30, 1997, the parties filed a joint motion to dismiss
the appeal with prejudice.

     Accordingly, this appeal is DISMISSED WITH PREJUDICE.  Rule
28(a).
