                                 ORDER
 
        On August  19,  1998, the  parties  reported that  they  had
   reached  a settlement  of this  matter and  moved to  dismiss the
   appeal  without prejudice  for sixty  days to  be converted  to a
   dismissal  with  prejudice after  that  date.   Pursuant  to  the
   agreement  of  the  parties  and  Rule  128(b),  this  appeal  is
   DISMISSED WITHOUT PREJUDICE, to be converted to a  dismissal with
   prejudice sixty days after the date of this order.
