                                 ORDER
 
        On  March 18, 1996,  Sverdrup Corporation filed  this appeal
   challenging   the  contracting   officer's   final  decision   of
   December 19, 1995,  denying its request for  equitable adjustment
   on behalf of its subconsultants under contract no. GS-01P-89-BWC-
   0036.
 
        On May 7, 1996, the parties' filed a joint motion to dismiss
   the claim with prejudice.
 
        Accordingly,  this appeal is DISMISSED WITH PREJUDICE.  Rule
   28(a).
